1. Introduction and Acceptance

These Terms & Conditions (“Terms”) govern your access to and use of Conto, operated by Fatbaby LLC (“Fatbaby,” “we,” “us,” or “our”). By using the Service, you agree to these Terms and our Privacy Policy.

2. The Service

Conto provides software to help tax professionals, accountants, and their clients collect, process, review, and export financial documents and bookkeeping data. The Service may include AI-assisted document classification, OCR/layout extraction, transaction extraction, counterparty matching, account categorization, review workflows, exports, and optional accounting software integrations.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate account information and promptly update it if it changes.

4. Customer Responsibilities

You are responsible for:

  • obtaining all rights and permissions needed to upload, process, and share Customer Data through the Service;
  • ensuring your use of the Service complies with applicable laws, professional obligations, and client authorizations;
  • reviewing AI-generated outputs before relying on them for bookkeeping, tax, financial reporting, or client work;
  • maintaining backups of records you are legally required to keep; and
  • configuring exports and accounting integrations correctly.

5. Acceptable Use

You may not:

  • engage in fraudulent or illegal activities;
  • upload infringing, defamatory, or malicious content;
  • attempt to access the Service or related systems without authorization; or
  • resell or sublicense the Service without our prior written consent.

6. Intellectual Property

  • Fatbaby LLC IP. All software, code, trademarks, and content comprising Conto are owned by or licensed to Fatbaby LLC. We grant you a limited, non-transferable, non-exclusive license to use the Service as permitted by these Terms.

  • Customer Data. You retain ownership of documents and data you upload or submit through the Service (“Customer Data”). You grant Fatbaby and its subprocessors a limited, non-exclusive license to host, use, process, transmit, display, derive, and store Customer Data solely to provide, maintain, support, secure, and improve the Service, including document classification, OCR/layout extraction, transaction extraction, citations, review workflows, accounting integrations, and audit records that you request or enable.

  • Restrictions on Model Training. We do not use Customer Data to train models that are made generally available to other customers or third parties, and we do not permit our AI inference or document-processing providers to use Customer Data to train their public models or generally available models without your permission. If we ever seek to use Customer Data to train models, we will do so only with your explicit permission.

  • Usage Data. The Service may generate or collect analytics, logs, and other technical data about usage and performance (“Usage Data”). Usage Data does not include the contents of Customer Data. Fatbaby may use Usage Data to operate, secure, maintain, and improve the Service.

  • Aggregated/De-identified Data. We may create aggregated and/or de-identified data derived from Usage Data and Service operation (“Aggregated Data”) and use it for analytics, benchmarking, and improving the Service. Aggregated Data will not identify you or your clients.

  • Feedback. Suggestions or feedback you provide may be used by Fatbaby without obligation to you.

7. Privacy & Data Security

Our handling of personal information is governed by our Privacy Policy (available within the Service and on our website) and incorporated by reference. By using Conto you consent to our data practices, including processing by trusted third-party service providers (e.g., database providers, cloud hosting services, product analytics and error-monitoring providers, email delivery services, third-party data processing services, accounting software integration providers, and AI inference or document-processing APIs). Provider-side retention for document-processing inputs and results depends on the provider and service configuration. Conto may retain extracted text, OCR/layout metadata, structured financial data, citations, and audit records in our own systems as Service records.

Monitoring. We may monitor, log, and analyze Service usage and performance (including error and security events) to operate, secure, and improve the Service in accordance with our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” FATBABY LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR ACHIEVE ANY PARTICULAR RESULTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FATBABY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID FATBABY LLC IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Fatbaby LLC and its affiliates from any claims, damages, losses, or expenses arising out of (i) your use of the Service, (ii) your violation of these Terms or applicable law, or (iii) your infringement of any third-party rights.

11. Termination

You may close your account at any time. Fatbaby may suspend or terminate the Service or your access to it (a) for breach of these Terms, (b) to protect security or legal interests, or (c) if required by law. Sections that by their nature should survive termination shall do so.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Exclusive venue for any dispute shall be the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be posted in the Service or emailed to you. Continued use after changes constitutes acceptance.
